1. Acceptance of Terms

By accessing or using Alydo (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and Alydo regarding your use of the Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Alydo is a personal grocery management application that allows you to:

• Upload and scan grocery receipts using Alydo Intelligence
• Track your purchase history and spending
• Create and manage shopping lists
• Share shopping lists with other users
• Receive restock suggestions based on your purchase patterns

The Service is provided for personal, non-commercial use only.

3. User Accounts

3.1 Account Creation

To use Alydo, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

3.2 Account Security

You agree to notify us immediately of any unauthorized use of your account. You sign in with a six-digit one-time code we email to you, so there is no password. Do not share your sign-in codes with others.

3.3 Account Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload content that infringes on intellectual property rights of others
• Attempt to gain unauthorized access to the Service or related systems
• Use automated systems (bots, scrapers) to access the Service
• Interfere with or disrupt the Service or servers
• Resell, redistribute, or commercially exploit the Service
• Upload fraudulent, fake, or misleading receipts
• Use the Service to harm, threaten, or harass others

5. Your Content and Data

5.1 Ownership

You retain ownership of all content you upload to the Service, including receipt images, shopping lists, and any other data you provide (“Your Content”).

5.2 License Grant

By uploading content to the Service, you grant us a limited, non-exclusive license to use, process, and store Your Content solely for the purpose of providing the Service to you. This includes:

• Processing receipt images to extract information
• Storing your data in our database
• Displaying your data back to you in the app
• Sharing data with collaborators you explicitly invite

5.3 Responsibility for Content

You are solely responsible for Your Content. You represent that you have the right to upload any content you provide and that your content does not violate any third-party rights.

6. Receipt Processing and Accuracy

6.1 Processing Limitations

The receipt parsing feature is provided “as is” and may:

• Misread or incorrectly extract text from receipts
• Incorrectly categorize items
• Fail to parse some receipt formats
• Provide inaccurate price or quantity information

6.2 Not Financial Advice

The Service provides spending analytics and suggestions for informational purposes only. This is not financial, tax, or legal advice. Consult appropriate professionals for financial decisions.

6.3 Verification Responsibility

You are responsible for verifying the accuracy of all extracted receipt data. We are not liable for decisions made based on potentially inaccurate extracted data.

7. Third-Party Services

The Service uses the following third-party services:

• Google Gemini: For receipt image processing. Use is subject to Google's Terms of Service
• Supabase: For database and authentication services
• Resend: For sending our emails and receiving the ones you forward
• Apple: For speech recognition when you add a list item by voice in the iOS app
• Vercel: For hosting and website analytics
• Upstash: For limiting how often one connection can call the Service
• Open Food Facts: For nutrition information about the food on your receipts
• Expo: For delivering updates to the iOS app

Your use of these third-party services is subject to their respective terms and privacy policies. Our Privacy Policy says what each of them receives.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Alydo and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8.2 Trademarks

“Alydo” and associated logos are trademarks of Alydo. You may not use our trademarks without prior written permission.

9. Service Availability

9.1 No Guarantee of Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

9.2 Rate Limits

Receipt scanning is limited to 5 per minute and 20 per day. These limits may change at our discretion.

9.3 Service Changes

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of extracted data
• Warranties that the Service will be uninterrupted or error-free
• Warranties that defects will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALYDO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Damages arising from reliance on extracted information
• Damages arising from unauthorized access to your account
• Damages arising from Service interruption or data loss

Our total liability for any claim arising from the Service shall not exceed the greater of AUD $50 or the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Alydo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service

13. Termination

13.1 Termination by You

You may stop using the Service at any time. You can delete your account and all associated data through the Settings page.

13.2 Termination by Us

We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your data, though we are not obligated to do so immediately.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

15. Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at support@alydo.app to attempt to resolve the dispute informally. We will make good faith efforts to resolve any issues within 30 days.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alydo regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after any changes indicates your acceptance of the updated Terms.
